  • Good afternoon. Thank you for joining us. With me today are John Melo, our Chief Executive Officer, and Paulo Diniz, our Chief Financial Officer.

  • I'll now turn the call over to John Melo.

  • Thank you, Joel. Good afternoon and thank you for joining us today. As we described in our press release, we achieved our best operational performance to date at our plant in Brotas during the second quarter, added new collaboration partners in strategic areas and continued progress on building our renewable product sales pipeline. We remain on track to double our renewable product sales this year against 2013 and deliver positive operational cash flow in the second half of this year.

  • Today, I will cover three topics. Our operational performance, our commercialization progress, and our outlook. I will cover the first two before turning the call over to Paulo for the financial update and then I will wrap up with an update on our outlook for the remainder of 2014 and beyond.

  • Let me start with our operational performance. Specifically, our manufacturing and technology development activities including collaborations. During the second quarter, we met our operational targets at the Brotas biorefinery in Brazil and in our downstream processing for finished products. Our farnesene production costs at Brotas decreased further, relative to prior quarters. As we improved our production processes during this, our second year of operations, our ability to continue to lower production costs for farnesene is opening a number of new potential markets.

  • Similarly, our downstream manufacturing activities continue to move in the right direction as we improved efficiency and lowered our finishing costs, improving our product margins and outlook.

  • In late June, we transitioned the Brotas plant to the production of our fragrance oil and since quarter end have made multiple commercial shipments from Brotas. This is the second commercial hydrocarbon molecule we have produced at industrial scale at our biorefinery and, we believe, a first for the emerging industrial bioscience industry.

  • These manufacturing successes, producing multiple molecules at Brotas, are a result of not just great operational focus, but also our robust fermentation technology that we believe is revolutionizing the way materials are made. We continue to experience strong demand for sustainable products that perform better than the alternatives, are cost competitive, and solve the supply challenges some of our customers face in growing their businesses.

  • This is evidenced by our broad pipeline of collaborations which drives our product pipeline and long-term product revenue growth while delivering a recurring cash stream. The combination of our operational performance and continued execution of our high-value product strategy delivered an average selling price of $7.43 a liter in the second quarter. When adjusted for current production costs, positive cash gross margin on all of our recurrent renewable products with the exception of fuels.

  • During the second quarter, we made extensive progress in a dozen existing collaborations by meeting major milestones and expanding into new areas with current and new partners. During the last quarter, I discussed how we are expanding our work with Total to include new product process development and scale up cooperation.

  • Today, I would like to highlight two new collaborations that underscore the versatility of our technology to address customer challenges. First, we have signed an agreement with Natura, a leading cosmetics brand based in Brazil. In this new collaboration, we are working to improve the portfolio of sustainable ingredients that Natura uses in its cosmetic products.

  • Our goal is to repeat our performance in flavor and fragrance with the cosmetics market sector. We have established a $1 billion product portfolio that is underpinned by over a dozen flavor and fragrance molecules under contract with companies that represent over half of the flavor and fragrance market.

  • These agreements are with the market leaders. Companies like Firmenich, IFF, Givaudan, and TAKASAGO. Natura is our first step to building this portfolio in cosmetics. We have a strong pipeline of other leaders in this sector to execute on this strategy. Our focus is to help these companies achieve sustainable growth by providing lower cost, higher performing replacements for current molecules along with innovative molecules that enable them to differentiate and deliver better products for the end consumer.

  • Second, we have expanded our ongoing isoprene collaboration with the addition of Braskem, Latin America's largest petrochemical company and a global leader in the production of renewable polymers. Recall in late 2011 we launched a technical collaboration with Michelin to develop technology to produce renewable isoprene for tires and other applications. With Braskem, which is part of the Odebrecht Group, we are adding an industrial partner with expertise in industrial production and a shared vision to transform the chemical industry through sustainable product innovation and superior performance. We will provide additional information in the coming weeks about our partnership with Braskem.

  • Between our expanded isoprene collaboration and our ongoing work with Kuraray on liquid Farnesene Rubber and our development of solid Farnesene Rubber, I believe we now have a strong multiproduct offering for the tire and rubber industry.

  • Recall, last quarter we shared with you Kuraray's expansion of their portfolio of high performance polymers using Amyris renewable farnesene. Specifically, liquid Farnesene Rubber, which reacts with tire rubber more easily than traditional materials and strengthens adhesion of rubber components to improve tire shape, stability, and performance. Tire manufacturers are in advanced stages of field, safety, and performance tests for this farnesene-based liquid rubber with a number of manufactures establishing plans for commercial launches in the near future.

  • In short, with our partner Kuraray, we will supply tire manufacturers with liquid Farnesene Rubber and later, with Braskem and Michelin, we expect to deliver on renewable isoprene to this industry completing a transformation to high performance, renewable solutions for tire and rubber products.

  • We expect to do this, develop a suite of product offerings, for the various markets that we target such as consumer care, transportation, and lubricants. Remember our collaborations drive our product pipeline and long-term revenue growth while delivering a recurring cash stream.

  • For those keeping track of our performance, and generating collaboration inflows, as of today, we are over the halfway point in terms of collaboration inflows which we expect to be in the range of $60 million to $70 million for the year. As you may have seen our 8-K filing earlier this week, Total has made their planned annual contribution for our ongoing collaboration and we have received additional inflows from other parties including Braskem.

  • So, now, turning to our renewable product sales efforts, we increased our sales during the quarter and are pleased with the milestones we have achieved in expanding our product portfolio. Which includes global sales of our Neossance Squalane, the Diesel de Cana sold in Brazil, farnesene for high-performance polymers, lubricants, and of course, our new fragrance oil ingredients under production in Brazil.

  • These products encompass four target areas. Consumer care, performance materials, and via our joint ventures, fuels and lubricants.

  • First, our consumer care segment, which includes both our Neossance cosmetic emollient derived from farnesene as well as our flavor and fragrance products is poised for significant growth and is contributing positive cash margins. Our cosmetic emollients, squalane and hemisqualane, continued to see increased interest and sales particularly as we make our way through product formulation and validation processes of some of the world's leading suppliers to the cosmetic industry.

  • During the quarter, we introduced our second emollient, hemisqualane, which is an alternative to silicon emollients and expands our market potential. Also during the second quarter, we received final regulatory approval for the use of our Neossance Squalane in quasi-drug formulations in Japan which opens a significant market for us in the world's largest squalane market and is a testament to the high quality of our cosmetic emollients.

  • Turning to our other consumer care segment focus, our flavor and fragrance business achieved a number of milestones for the various partners in this segment. From our labs, we delivered on the technical milestones related to the multiple new fragrance ingredients we are developing. At our Brotas biorefinery, we have been producing our first fragrance ingredient for our partner Firmenich and are pleased with the progress to date.

  • As I noted earlier, we have shipped multiple [iso] tanks of this fragrance ingredient that will be used in perfume compositions designed for various types of consumer products such as fine fragrance, shampoos, laundry detergents, fabric softeners, bar soaps, and shower gels. And looking ahead to the market demand, our partner Firmenich has indicated to us that it expects this fragrance ingredient alone to represent a market of about one to two thousand metric tons per year at maturity, based on the current level of adoption and replacement opportunity in the end markets.

  • Our performance materials segment continues to evolve with a focus on our polymer applications, such as the Farnesene Rubber applications I discussed earlier as well as our new solvent for the cleaning industry. The solvent we launched in the past quarter delivers high-performance, VOC-compliant renewable solution to the household and personal care industry. We have generated significant test data to substantiate the performance attributes of our farnesene-based solvent. A number of potential customers are testing the solvent in formulations tailored to cleaning and degreasing.

  • Based on this data and customer feedback, we now know that this renewable solvent offers a range of performance attributes including excellent cleaning performance against tar and oils, VOC compliance in Europe and California, enhanced environmental health and safety profile and, unlike the crop-based alternatives, stable and competitive pricing, thanks to our industrial fermentation manufacturing technology. We have already identified and are in discussions with several strong channel partners and expect sales growth over the next several quarters.

  • In our renewable mobility segment, we obtained approval for use of our farnesene in Jet A, Jet A1 fuel and resumed our shipments to bus fleets in Brazil. This new aviation renewable fuel was developed as part of our collaboration with Total, following extensive testing including multiple flight and evaluations. Amyris and Total illustrated that, at 10% blends, farnesene meets the rigorous performance requirements set for Jet A/A1 fuel used by the global commercial aviation industry and can reduce greenhouse gas emissions on a lifecycle basis -- base as well as particulate matter emissions locally.

  • On June 15th, ASTM revised its jet fuel standard, paving the way for airlines to use the Amyris Total renewable jet fuel in commercial airlines. And within weeks we witnessed the first commercial flight with our fuel when GOL's Boeing 737 departed Orlando in route to Brazil with our fuel. We expect to see additional airlines and routes begin to use the Amyris Total renewable jet fuel worldwide as we have proven our ability to produce sustainable volumes for our early adopters.

  • Turning to our other fuel product, as I anticipated in our last call, during the second quarter we resumed shipments of our diesel to bus fleets in Brazil which is now being distributed not only by Petrobras, but also Raizen, a joint venture between Cosan and Shell. Expanding our distribution relationships we seek to strengthen our fuels sales opportunities. In fact at quarter's end, we were honored to have Brazilian President Dilma Rousseff inaugurate an express bus route in Rio that is utilizing our sugarcane diesel, known locally as Diesel de Cana.

  • Finally, let me touch briefly on our lubricants. Novvi, our joint venture with Cosan, has validated its technology with key OEM stakeholders and has received initial volume commitments globally. As anticipated in our last call, Amyris and Cosan made additional investments of about $2 million each in the joint venture to enable production of Novvi's base oils this year. Novvi has commitments in place to sell out all its finished base oil production in 2014 and is well-positioned for strong growth in 2015. We continue to exclude any proceeds from our Novvi joint venture from our forecasts as we prefer to focus on the activities that we manage directly.

  • As I turn the call over to Paulo to discuss our second quarter financial results, remember that our business model integrates collaboration inflows and renewable product sales. As accounting requirements dictate that we report differently, we have reconciled these differences in our press release.

  • After Paulo's update I will then review our current guidance for the second half of 2014 and beyond. Paulo, please lead us through the financials.

  • Paulo Diniz - CFO

  • Thank you, John and good afternoon, everyone. Let me highlight some key points from our second quarter results. Looking at revenues from renewable products and collaborations, we finished the second quarter of 2014 with total revenues of $9.3 million being $4.4 million from renewable products and $4.9 million from grants and collaborations. The total revenue of $9.3 million compares to $10.8 million in the second quarter of 2013.

  • Our second quarter renewable products revenues of $4.4 million represent revenues from sales of hemisqualane for cosmetics, renewable diesel for fuels, and some farnesene for performance materials. These renewable revenues improved over the first quarter of this year and do not reflect our fragrance, oil, and jet fuel volumes that we expect to recognize in the second half of this year.

  • Looking at the non-GAAP cash basis the way that we managed our business with focus on cash growth. Total renewable product revenues and collaboration inflows were slightly lower at $8.2 million, largely due to timing of cash inflows of our collaborations.

  • During the first half of the year, our total revenue and collaboration inflows were about $26.1 million in line with our plans. As John noted, as of today, we have received cash for more than half of the expected collaboration inflows for the year. So, over $30 million in collaboration inflows to date and on track to our target of doubling revenue product revenues.

  • Turning to our cost of goods sold, our [COGS] decreased to $7.5 million for the second quarter of 2014 compared to $8.9 million in the same period of last year. When we exclude loss on purchase commitments and write off of production assets. The non-GAAP cost of goods sold that is excluding depreciation and amortization, our cash COGS for the second quarter was at $6.1 million and compares to $7.3 million for the same periods in 2013.

  • It should be noted that the $6.1 million non-GAAP COGS reflecting inventory produced last year. Having said that, assuming current production costs our non-GAAP COGS would have been approximately $4 million.

  • During the second quarter, we achieved a non-GAAP cash gross profit of $2.2 million, representing a 26% cash gross margin on our total non-GAAP top-line of $8.2 million from renewable product sales and collaboration inflows.

  • This compares to a non-GAAP gross profit of $13.2 million in the second quarter of 2013, which included $10 million inflows from Total. Looking at it another way, during the first half of 2014, we achieved a non-GAAP cash gross profit of $15.2 million representing our 58% cash gross margin on our total non-GAAP top-line of $26.1 million from renewable product sales and collaborations inflows. We continue on track to deliver full-year cash gross margin in the range of 60% to 70%.

  • We continued to manage our overall operating expenses even in face of our increasing collaboration activities. Our combined R&D and SG&A expenses were $26.1 million in the second quarter, down 9% over the $28.7 million in the same period of last year. On a non-GAAP basis, that is excluding non-cash items such as the depreciation, amortization, and stock-based compensations, our combined operating expenses were $20.2 million in the second quarter compared to $21.2 million in the same period of 2013.

  • As you can see in our press release, we had GAAP net loss of $35.5 million for the quarter or about minus $0.45 per share, attributable to common stockholders. However, when we exclude non-cash impact such as changes in the fair value of derivatives embedded in our outstanding convertible notes as well as other non-cash expenses, such as depreciation and amortization and stock-based compensation, our non-GAAP net loss was $23.7 million for the quarter or a non-GAAP loss of $0.30 per share.

  • Turning to our balance sheet, our cash position at the end of the second quarter was $90.2 million which compares with $49.1 million at the end of the first quarter of this year. This is our best cash balance since early 2012 when we faced [the scale-up] challenges at our contract manufacturing facility.

  • In the second quarter we received approximately $62 million in cash proceeds from our 144A convertible note offering. And since quarter end, as John noted, we received Total's contribution to our ongoing collaboration in addition to other collaboration inflows.

  • We close the quarter with a deposition of $222.3 million, net of that discount of $84 million with the great majority being convertible notes issued to our main shareholders, Total, Temasek and Fidelity. Also important to note is that the balance of $147.8 million of other liabilities is mostly the result of embedded derivatives in our convertible notes, again, with our main shareholders, Total and Temasek.

  • In summary, [our debt] with a unique quality profile.

  • Well, let me turn the call back over to John now for some updated guidance and additional comments before taking your questions.

  • Thank you, Paulo. Let me briefly address our second half 2014 outlook.

  • We made good progress during the first half of 2014. We achieved strong operational performance, added additional new collaboration partners in strategic areas and continued progress on building our renewable product sales pipeline.

  • We are producing farnesene near the $3.00 a liter level and have good visibility toward the mid-$2.00 a liter level. This robust cost performance, along with strong demand for our technology platform and performance products at a competitive price, enable us to reinforce guidance for 2014 and beyond.

  • On the inflows, we continue to expect renewable product sales to be over $32 million, doubling our 2013 renewable product sales number and to achieve positive cash margin from products. In addition, we continue to expect collaboration inflows, a non-GAAP measure in the range of $60 million to $70 million by the end of the year.

  • On expenses, we continue to expect cash operating expenses for R&D and SG&A in the range of $80 million to $85 million and capital expenditures less than $10 million in 2014. On earnings, we continue to expect to achieve positive cash flow from operations during the second half of the year and to achieve positive EBITDA in 2015.

  • On payback, we expect cash payback for our Brotas biorefinery over the following two years. This is based on plant cash contribution of $10 million to $15 million in 2014 and $40 million to $50 million in 2015.

  • I would like to open the line now for questions you may have and, LaToya, can you help us with that?

  • Good afternoon. It is Silke Kueck for Jeff. Can you give a little bit more color on the reduction of the finishing costs in the quarter or can you put it in terms of dollars per liter or what exactly it is that you achieved?

  • John Melo - CEO

  • Well, I can tell you it was over a 10% per liter reduction and specifically mostly related to squalane cost reductions. Actually enabling us now to clearly be as we believe the lowest cost producer of squalane in the world.

  • Silke Kueck - Analyst

  • And 10% means that if it were something like, I don't know, $0.15 per liter or you know, [smell] something that's like, I don't know, you know.

  • John Melo - CEO

  • I will help you. It was probably in the 8 to 10 range, so it is probably $0.80 to a $1.00 or better. And (multiple speakers) finishing costs.

  • Silke Kueck - Analyst

  • Okay. Okay, that's helpful. Secondly, the --. Is the commentary on the payback off the Brotas plan, does that mean that the $40 million $50 million been a step up in capital expenditures next year?

  • John Melo - CEO

  • No, we, I think, have been clear on maintaining $10 million or less in capital expenditures per year and we expect to stay at that rate.

  • Silke Kueck - Analyst

  • What do you mean by planned cash contributions? Do you mean that is like the return that you expect from the plant?

  • John Melo - CEO

  • It's -- yes, exactly. It is a very crude way of thinking about gross cash or cash gross margin from the plant against the amount of capital we have invested in it, including the cost of that capital.

  • Silke Kueck - Analyst

  • Okay. Okay. That's helpful.

  • John Melo - CEO

  • And the real driver there just to help with that is, really, based on the product mix we have, and the average selling price we are generating and we expect to continue to generate with that product mix, we actually are able to contribute a cash, a positive cash gross margin that we think is significantly differentiated from really anybody else in the sector we are in today. And it is that level of difference, i.e., the product mix and the positive cash gross margin that enables us to get such a quick payback on the plant.

  • Silke Kueck - Analyst

  • Okay. Thanks for the explanations. And lastly, was there a milestone payment that was received in the quarter that was related to your joint ventures with the fragrance companies?

  • John Melo - CEO

  • Actually we've, especially in light of the partners and the common analysts we have covering some of the partners, it has been made very clear that we are not really talking about when milestones come in and how much they are by partner.

  • Silke Kueck - Analyst

  • Okay. But it seems that you received something this quarter.

  • John Melo - CEO

  • We did. That's true. Just not able to connect which partners paid what.

  • Silke Kueck - Analyst

  • Let me start with a high level question. Big election in Brazil in less than 60 days. Can you talk about any implications of potentially new administration coming in either for the sugar market more broadly or specifically for the bioindustrial complex that you guys are building?

  • John Melo - CEO

  • Paulo is my in-house expert on Brazilian politics and sugarcane economics. Paulo?

  • Paulo Diniz - CFO

  • I guess it is important to see that as far as the agriculture business in Brazil is concerned, especially the sugarcane business, this is an industry that has been badly hurt during the last two years at least. Therefore, regardless of who is going to win the election, everyone is expecting that with the new President, even if the current one, a kind of midterm plan should be in place that somehow should improve the overall situation of the sugarcane industry.

  • Therefore, we are optimistic that, yes, we may have some benefits down the road in case that happens.

  • Pavel Molchanov - Analyst

  • Okay. And anything for any funding that your DNDS, anything along those lines that might be affected?

  • Paulo Diniz - CFO

  • No, not really. I guess that development banks in Brazil continue to be a source of interesting resources. I guess that all our projects in Brazil, starting with our pilot plan afterwards our 30-part manufacturing facility and, finally, our own plant, all of them we are able to access development bank resources. And I would not see a reason why that should change the other way around. The government continues to deposit a lot of trust and a lot of desired innovation and, therefore, we should move forward hand-in-hand.

  • Pavel Molchanov - Analyst

  • Okay. Let me also ask a question about Total. You have alluded to the fact that you have started selling some limited volumes of biojet. How quickly do you think it can realistically take for Total to make an investment decision on a significant renewable diesel or renewable jet fuel scale-up?

  • John Melo - CEO

  • What I would say, Pavel, is I think they are in the middle -- the first thing you start with is they have an annual planning process that they actually update or revise a 10 year outlook and then date use that as you can imagine to allocate short-term capital plans. And I think in looking at that outlook and how they are thinking about their capital plans, it would not be surprising if Total started to focus on biomanufacturing of products. Especially in Europe during this decade. I would not be surprised if there are two or three plans operating sometime in this decade focused on renewable fuel production, especially in light of the visibility we now have to get into very competitive field pricing before the end of the decade.

  • Pavel Molchanov - Analyst

  • Okay. And so you mean the plant would be built by the end of the decade or they would decide by the end of the decade?

  • John Melo - CEO

  • I would expect two to three to be in production within the end of the decade or by the end of the decade. And (multiple speakers)

  • Okay, fair enough.

  • John Melo - CEO

  • They do their own capital planning. All I can share with you is the conversations we have been having and their outlook and, really, the energy around what our cost outlook looks like for being competitive in fuel.
